Introduction

These Terms and Conditions (“Terms”) govern the access to and use of the e-commerce platform rzxshop.com (the “Platform”) and the services offered therein. Acceptance of these Terms is a prerequisite for registering on and using the Platform. By accessing or using the Platform, the User confirms that they have read, understood, and agreed to these Terms, as well as any other policies or documents referenced herein.

Article 1 – Definitions and Scope of Application

  1. Definitions
    For the purposes of these Terms, the following definitions apply:
    • “Platform” or “E-Commerce Platform”: The website rzxshop.com, owned and operated by Reload People Ltd, through which Users can purchase Products offered by Sellers.
    • “Reload People Ltd”, “we”, or “our”: Reload People Ltd, a company headquartered in London (UK), which owns and manages the Platform.
    • “User”: Any natural person (consumer) or legal entity (B2B) residing in a European country (including Switzerland, Norway, and the United Kingdom) who registers on the Platform and accepts these Terms, in order to purchase Products or otherwise interact with the Platform.
    • “Seller”: Any third party (a legal entity or a self-employed individual duly registered with the business registry in their country of origin) holding a valid EU VAT number (if required by applicable law), who offers and sells Products to Users through the Platform. Sellers operate autonomously and are not part of the same corporate group as Reload People Ltd.
    • “RZX Wallet”: The Platform’s internal virtual payment wallet, which Users can fund using various payment methods. The RZX Wallet can be used exclusively to purchase Products on the Platform. Its use may grant Users additional credits and benefits if they hold a membership called “RZX Power Pack.”
    • “RZX Power Pack”: A purchasable membership that provides Users with extra credits and enhanced benefits when using the RZX Wallet for purchases on the Platform. Specific terms of this membership will be provided in a dedicated section of these Terms.
    • “Products”: Any tangible goods offered for sale by Sellers on the Platform.
    • “Order”: A purchase request submitted by a User through the Platform, related to one or more Products offered by a Seller.
    • “Shipment”: The delivery service of Products purchased by Users, carried out by couriers affiliated with the Platform or selected by Sellers.
    • “Content”: All information, descriptions, images, text, data, logos, trademarks, videos, comments, and any other material made available on the Platform, whether provided by Reload People Ltd, Sellers, or Users.
  2. Scope of Application
    These Terms govern the access to and use of the Platform by Users residing in Europe, including Switzerland, Norway, and the United Kingdom. They also regulate the contractual relationship between the User, the Seller, and Reload People Ltd with regard to the purchase and sale of Products.
  3. Language and Official Version
    The official version of these Terms is in English. Any translations are provided for convenience only; in case of discrepancies between the English version and any translated version, the English version shall prevail.

Article 2 – User Registration and Account

  1. Age and Residency Requirements
    To register and create an account on the Platform, the User must be considered an adult under the laws of their country of residence and must reside in one of the European countries listed in Article 1.
  2. Required Registration Information
    During the registration process, the User must provide complete and accurate personal and/or business information, which may include but is not limited to:
    • Full name;
    • A valid email address;
    • A complete billing address and, if different, a separate shipping address;
    • A phone number (if required).

For business (B2B) Users, additional information may be requested, such as the company’s legal name and VAT number (which will be verified via the VIES system to determine whether Reverse Charge with zero VAT applies), as well as any other relevant corporate details.

  1. Account Verification
    At this time, there is no specific verification process beyond the confirmation of the submitted information. However, Reload People Ltd reserves the right to request additional documents or proof of identity should there be any doubts regarding the User’s identity or the accuracy of the provided information.
  2. User Obligations
    The User agrees to:
    • Keep their login credentials confidential and not share them with third parties;
    • Maintain their personal or business details up-to-date and complete;
    • Provide only truthful and accurate information.
  3. Account Suspension and Termination
    Reload People Ltd reserves the right to immediately suspend or terminate a User’s account if it detects any violations of these Terms, unlawful use of the Platform, or suspicious/fraudulent activities. In such cases, the User will be contacted to provide clarification. Should the verification process conclude favorably, the account may be reactivated at Reload People Ltd’s sole discretion.
  4. Number of Accounts per User
    Each individual or legal entity is generally allowed only one account. However, a single individual may maintain two accounts if one is created for personal use and the other is established on behalf of a legal entity, provided that separate and distinct email addresses are used for each account.

Article 3 – Scope of the Service and Terms of Use

  1. Nature of the Service
    The Platform acts as an intermediary between Sellers and Users, enabling Users to purchase Products offered by Sellers in a convenient and secure manner. Reload People Ltd does not directly sell any Products; it merely provides the technological tools that facilitate the interaction between supply and demand.
  2. Platform Features
    The Platform offers a range of additional features and services, including but not limited to:
    • A wishlist for saving favorite Products;
    • A Product comparison tool;
    • An email notification system and, in the future, push notifications;
    • Informational sections and purchasing guides;
    • A customer support service managed by the Platform to address technical issues, usage difficulties, or conflicts with a Seller;
    • An internal support system managed by each Seller to assist with inquiries related to shipments and any issues regarding the Products they have sold.
  3. Conclusion of the Sales Contract
    The Order submitted by a User constitutes a purchase proposal. The sales contract between the User and the Seller is deemed concluded only when the Seller accepts/confirms the Order. Upon acceptance, the User will receive an email confirmation. If the Seller does not accept the Order, the Order shall be considered void. In the event the User has already made payment and the Order is not confirmed, the User will be promptly refunded by means of a credit to their RZX Wallet.
  4. Verification of Products and Sellers
    The Platform conducts preliminary checks on Sellers before allowing them to open their online storefront. Periodic checks are also performed to ensure that the Products offered comply with applicable laws and internal policies. A detailed list of prohibited or restricted Products will be provided within the Terms and Conditions dedicated to Sellers.
  5. User Conduct on the Platform
    The User agrees to use the Platform lawfully, fairly, and respectfully, refraining from any conduct that may:
    • Violate applicable laws or regulations;
    • Include offensive, defamatory, obscene, pornographic, discriminatory, or hate-inciting content;
    • Contain references or links to unauthorized external websites, spam, or unsolicited promotional messages;
    • Infringe upon third-party rights, including intellectual property rights.
  6. Feedback, Reviews, and Moderation
    Users may provide reviews and feedback on Products and Sellers. Such contributions must be relevant, truthful, and free of inappropriate content. Both the Platform and the Sellers reserve the right to moderate, suspend, or remove any review that violates these Terms.
  7. Seller and User Content
    Sellers are responsible for the content (descriptions, images, specifications) posted in their online storefronts. The Platform carries out periodic checks and may intervene following reports from Users or other Sellers, removing any unlawful or non-compliant content. Users may also upload content (e.g., comments, images, feedback) where permitted, and must adhere to the same conduct requirements outlined in this Article.
  8. Intellectual Property Rights in User-Uploaded Content
    By uploading content to the Platform, the User warrants that they hold all necessary rights and grants Reload People Ltd a non-exclusive, free-of-charge, transferable, and sublicensable worldwide license to use, reproduce, modify, adapt, translate, distribute, and display such content as needed for the operation, promotion, and improvement of the Platform. The User remains solely responsible for the uploaded content and agrees to indemnify and hold Reload People Ltd harmless from any claims or damages arising out of the publication of such content.

Article 4 – Purchases, Payments, and the RZX Wallet

  1. Accepted Payment Methods and RZX Wallet Top-Ups
    Users may top up their RZX Wallet using credit/debit cards, SEPA bank transfers, cryptocurrencies, and vouchers. The minimum top-up amount is €10.
    The total top-up amount allowed within a single month is capped at €9,999. This limit may be temporarily increased at the User’s request and at the sole discretion of Reload People Ltd (for instance, to purchase a high-value item).
  2. Use of the RZX Wallet for Purchases
    The RZX Wallet is the sole accepted method of payment on the Platform for the purchase of Products. Users must therefore ensure that their RZX Wallet is sufficiently funded before placing any Orders.
  3. RZX Power Pack
    The “RZX Power Pack” is an entirely optional annual membership. Purchasing this membership grants the User additional benefits and extra credits as detailed on the dedicated page (https://rzxshop.com/shop/rzx-power-pack/). Users may choose not to purchase the membership and still carry out transactions on the Platform, but will forego the benefits offered by the membership.
  4. Fees and Additional Costs
    Reload People Ltd does not charge any fees to Users for using the RZX Wallet or for conducting transactions on the Platform. However, if the User tops up the Wallet in a currency other than the euro, their bank or payment institution may apply currency conversion fees or other charges.
  5. Transaction Security and Fraud Prevention
    The Platform employs state-of-the-art security standards consistent with applicable regulations and industry best practices provided by our payment partners (e.g., Stripe), including SSL encryption and PSD2 compliance. In the event of suspicious or potentially fraudulent activities, the payment will be automatically canceled, and the Order will not be accepted.
  6. Refunds to the RZX Wallet
    In the event of an unconfirmed Order or a Product return, the User is entitled to a refund, which will be credited back to their RZX Wallet. This credit replenishes the available balance, allowing the User to use these funds for future purchases on the Platform.
  7. Wallet Balance and Account Closure
    Funds in the RZX Wallet do not expire. Should a User decide to close their account, they may request a refund of the remaining balance. The refund will be issued to a payment card or bank account held in the User’s name, net of any non-monetizable bonus credits.
  8. Nature of RZX Credits
    Funds loaded into the RZX Wallet are considered “internal credits” purchased by the User (akin to vouchers), which can be used to buy Products on the Platform. These credits are not bank deposits, do not accrue interest, and are not financial instruments subject to banking supervision.
  9. Cryptocurrency Payments
    Cryptocurrency payments are allowed exclusively for topping up the RZX Wallet. At present, no additional specific rules apply; however, Reload People Ltd reserves the right to introduce future regulations, restrictions, or prohibitions as necessary to comply with emerging laws or regulations in this area.

Article 5 – Shipping, Delivery, and Risk

  1. Shipping Information Provided by Sellers
    The methods of shipment, delivery times, related costs, and any applicable insurance coverage are determined solely by the Sellers and are indicated in each Product’s description. Users are advised to review these details before making a purchase.
  2. Delivery Responsibility and Risk
    Once a Product has been handed over to the courier appointed by the Seller, any responsibility for delays, losses, or damages during transit lies with the courier or, if applicable, with the Seller, in accordance with the Seller’s policies. The User may contact the Seller for assistance, refunds, or replacements, as permitted by the Seller’s terms.
  3. Shipment Tracking
    After a Product is shipped, the User can view the tracking number in their user account area on the Platform. This information enables the User to monitor the delivery status of their order.
  4. Geographical Delivery Areas
    Each Seller determines the countries to which they will deliver their Products. Currently, deliveries outside the European Union are not generally available, except for the United Kingdom. Any customs duties, VAT, or other additional charges required by applicable regulations are the User’s responsibility.
  5. Shipping Costs and Promotions
    Shipping costs, free shipping offers, or other promotions are solely at the discretion of the Sellers and may vary from one Product to another. The User will be able to review these costs or benefits directly in the Product description or during the purchase process.
  6. Non-Involvement of Reload People Ltd
    Reload People Ltd, the owner of the Platform, does not manage or control shipping arrangements, delivery times, or the refund/replacement policies of Sellers. Any issues related to a Product’s shipment must be addressed directly to the respective Seller, in accordance with that Seller’s policies.

Article 6 – Right of Withdrawal, Returns, and Refunds

  1. Right of Withdrawal in Accordance with European Regulations
    Unless otherwise excluded by law, a User acting as a consumer is entitled to withdraw from the purchase contract of a Product within 14 days of receipt, in compliance with applicable European regulations. Sellers may offer more favorable terms to the User (e.g., extending the withdrawal period or providing additional guarantees), provided these conditions are clearly stated in the Product description.
    Unless more favorable conditions are offered by the Seller, the User is responsible for the return shipping costs.
  2. Returns, Replacements, and Refunds
    The process for returns, replacements, and refunds is managed directly by the Seller through the internal ticketing system available on the Platform. If the Seller accepts the User’s claim, the refund will be credited to the User’s RZX Wallet.
    If the Product is defective or non-compliant, the Seller may offer repair, replacement, or a refund in accordance with the law and the Seller’s own policies.
  3. Exceptions to the Right of Withdrawal
    Certain Products may be excluded from the right of withdrawal (e.g., customized items, perishable goods, sealed items for hygiene reasons), in line with European regulations. Such exceptions will be clearly indicated by the Seller in the Product description.
  4. Role of the Platform
    Reload People Ltd is not directly responsible for managing returns, replacements, or refunds. However, in the event of a dispute between the User and the Seller, the Platform may act as a mediator to facilitate an amicable resolution. If the dispute cannot be resolved internally, the User may seek assistance from the relevant authorities.
    The Platform also provides a dedicated contact form for Users to report any issues with a Seller.
  5. Refund Timeframes and Reports
    Once the Seller has received the returned Product and accepted the return, they must issue the refund within a maximum of 14 days. In case of delays or non-compliance, the User may report the issue to the Platform, which may consider intervening as a mediator.
  6. Documentation and Proof of Purchase
    To exercise the right of withdrawal or request refunds, the User must provide proof of purchase, such as the Order number or any other information requested by the Seller.

Article 7 – Product Warranties and Seller Liability

  1. Statutory Warranty of Conformity
    Sellers must comply with European legislation on the statutory warranty of conformity for goods. Under applicable regulations, the Seller is responsible for any lack of conformity existing at the time of delivery that becomes apparent within the legally mandated warranty period (generally two years for consumers). In the event of non-conformity, the User may be entitled, according to applicable law, to have the Product repaired or replaced, to receive a price reduction, or to terminate the contract.
  2. Additional Commercial Warranties
    Sellers may offer additional commercial warranties (e.g., extended warranties, “satisfaction or your money back” options). These warranties do not replace the statutory warranty of conformity but complement it, granting the User additional rights beyond those provided by law.
  3. Defective, Non-Conforming, or Counterfeit Products
    If a Product is defective, non-conforming, or suspected of being counterfeit, the User should first contact the Seller via the internal ticketing system. The Seller must evaluate the claim and act in compliance with applicable regulations and their own policies.
    The User may also report allegedly counterfeit or unlawful Products to the Platform using the dedicated contact form available in the customer support area. Following such reports, Reload People Ltd may take appropriate actions (e.g., suspending or removing the Seller from the Platform) after conducting necessary verifications.
  4. The Platform’s Role in Seller Liability
    Reload People Ltd is not responsible for the quality, conformity, or authenticity of the Products sold by Sellers. The Platform serves solely as a technical intermediary, providing the means for Sellers and Users to meet and conduct transactions. However, in the event of reports or violations, Reload People Ltd may take measures against Sellers, such as temporarily or permanently suspending the Seller’s account or removing non-compliant Products.
  5. Limitations of the Platform’s Liability
    Reload People Ltd does not guarantee the quality, legality, conformity, or suitability of the Products sold by Sellers. The Platform’s liability is limited to providing the technical service that enables Sellers and Users to meet online and enter into transactions. All obligations related to warranty and conformity remain the sole responsibility of the respective Sellers.

Article 8 – Platform Liability Limitations

  1. Third-Party Content and Service Availability
    The Platform shall not be held liable for any content, information, data, products, or services published by Sellers or Users, including but not limited to their accuracy, completeness, or reliability. Reload People Ltd does not guarantee continuous and uninterrupted availability of the service, as interruptions may occur due to maintenance, technical issues, updates, or unforeseen external factors.
  2. Indirect and Consequential Damages
    To the extent permitted by law, Reload People Ltd shall not be held responsible for any indirect or consequential damages, loss of data, business opportunities, missed profits, or other economic losses not directly attributable to gross negligence or willful misconduct on its part.
  3. Accuracy of Information and Verification
    Product-related information and availability are provided by Sellers. Reload People Ltd does not guarantee their accuracy, truthfulness, or completeness. Users are responsible for verifying such information directly with the Seller before making a purchase. Any purchase decision made by the User based on information available on the Platform is undertaken at their own risk and discretion.
  4. Force Majeure
    Reload People Ltd shall not be liable for delays, malfunctions, or non-performance caused by force majeure events, such as natural disasters, armed conflicts, power outages, network issues, or other circumstances beyond its reasonable control.
  5. User Conduct
    Users are required to use the Platform lawfully, in compliance with these Terms and applicable regulations. Reload People Ltd shall not be held liable for any damages, losses, or consequences arising from unlawful, fraudulent, or Terms-violating behavior by Users or third parties.

Article 8 – Platform Liability Limitations

  1. Third-Party Content and Service Availability
    The Platform shall not be held liable for any content, information, data, products, or services published by Sellers or Users, including but not limited to their accuracy, completeness, or reliability. Reload People Ltd does not guarantee continuous and uninterrupted availability of the service, as interruptions may occur due to maintenance, technical issues, updates, or unforeseen external factors.
  2. Indirect and Consequential Damages
    To the extent permitted by law, Reload People Ltd shall not be held responsible for any indirect or consequential damages, loss of data, business opportunities, missed profits, or other economic losses not directly attributable to gross negligence or willful misconduct on its part.
  3. Accuracy of Information and Verification
    Product-related information and availability are provided by Sellers. Reload People Ltd does not guarantee their accuracy, truthfulness, or completeness. Users are responsible for verifying such information directly with the Seller before making a purchase. Any purchase decision made by the User based on information available on the Platform is undertaken at their own risk and discretion.
  4. Force Majeure
    Reload People Ltd shall not be liable for delays, malfunctions, or non-performance caused by force majeure events, such as natural disasters, armed conflicts, power outages, network issues, or other circumstances beyond its reasonable control.
  5. User Conduct
    Users are required to use the Platform lawfully, in compliance with these Terms and applicable regulations. Reload People Ltd shall not be held liable for any damages, losses, or consequences arising from unlawful, fraudulent, or Terms-violating behavior by Users or third parties.

Article 9 – Intellectual Property Rights

  1. Platform Rights
    All intellectual property rights related to the Platform, including software components, graphic design, trademarks, logos, texts, images, videos, sounds, and any other content or materials created and/or provided by Reload People Ltd, are the exclusive property of Reload People Ltd. The mere use of the Platform does not grant Users any rights to such content or materials.
  2. Use of Trademarks and Distinctive Signs
    Users are expressly prohibited from using trademarks, logos, or other distinctive signs owned by Reload People Ltd or licensed to it without prior written consent from Reload People Ltd.
  3. Content Uploaded by Users and Sellers
    Users and Sellers who upload content to the Platform declare and guarantee that they own all the rights necessary to use, reproduce, and publicly communicate such content. By uploading content, they grant Reload People Ltd a non-exclusive, royalty-free, transferable, sublicensable, and worldwide license, as outlined in previous articles, to use the content to the extent necessary for the operation and improvement of the Platform.
    Users and Sellers remain fully responsible for the content they upload and agree to indemnify and hold harmless Reload People Ltd against any claims or damages arising from the use or publication of such content.
  4. Reporting Intellectual Property Violations
    In the event of alleged intellectual property rights violations, Users or rights holders may report the issue to Reload People Ltd through the designated contact form. After verifying the report, Reload People Ltd may remove the contested content and take measures against the responsible party, including suspending or terminating the account of the Seller or User involved.
  5. Restrictions on the Use of Platform Content
    Reproduction, distribution, modification, sale, commercial exploitation, or any unauthorized use of content available on the Platform—whether owned by Reload People Ltd, Sellers, or Users—is prohibited without the express written consent of Reload People Ltd.

Article 10 – Suspension and Termination of User Accounts

  1. Reasons for Suspension or Termination
    Reload People Ltd reserves the right to suspend or terminate a User account in the event of:
    1. Violation of these Terms or applicable laws;
    2. Fraudulent, illegal, or suspicious activities;
    3. Publication of unlawful, offensive, or inappropriate content;
    4. Multiple or repeated reports of misconduct;
    5. Other serious breaches that compromise the security, integrity, or proper functioning of the Platform.
  1. Suspension and Termination Procedure
    In the case of serious violations, the account may be suspended immediately, and the User will be contacted to provide clarification or take necessary actions to resolve the issue. For minor violations, the User will first be invited to provide an explanation or rectify their behavior before any suspension or termination is enforced.
  2. Voluntary Account Closure
    Users may request the closure of their account at any time by contacting customer support and in accordance with data protection regulations. Upon account closure, any remaining balance in the RZX Wallet, excluding non-convertible bonuses, will be refunded to a payment method in the User’s name (credit card or bank account).
  3. Consequences of Suspension or Termination
    In cases of suspension or termination due to violations, the User may lose temporary or permanent access to the services and their RZX Wallet. During the suspension period, account functions, including Wallet usage, will be restricted. Reload People Ltd commits to handling such cases promptly to seek a quick resolution wherever possible.
  4. Refunds and Remaining Credits
    In the event of permanent account closure, the User is entitled to a refund of the remaining balance in the RZX Wallet, excluding any non-monetizable bonus credits. Such funds will be reimbursed following the methods outlined in this Agreement.
  5. Disputes and Appeals
    Users have the right to contact customer support to dispute the suspension or closure of their account, providing any clarifications or evidence in their defense. Reload People Ltd will review the matter and decide whether to reactivate the account, maintain the suspension, or proceed with permanent closure.

Article 11 – Modification of Terms and Conditions

  1. Right to Modify
    Reload People Ltd reserves the right to amend these Terms at any time to comply with new legal requirements, introduce new services, improve the Platform’s functionalities, or for other operational or commercial needs.
  2. Notice and Communication of Changes
    In the case of substantial changes, Reload People Ltd will provide at least 15 days’ notice by sending an email to Users and/or publishing a clearly visible announcement on the Platform. During this period, Users may review the updated Terms and decide whether to accept them or discontinue using the Platform.
  3. Acceptance of Changes and Withdrawal
    After the notice period, continued use of the Platform by the User will be considered as implicit acceptance of the revised Terms. If the User does not agree with the changes, they may close their account as outlined in Article 10 and receive a refund of the remaining balance in their RZX Wallet (excluding any non-monetizable bonus credits).
  4. Minor Changes
    For non-substantial changes (e.g., formal corrections, minor adjustments), such modifications may come into effect without prior notice. Nevertheless, Reload People Ltd commits to keeping the Terms updated and informing Users of changes where appropriate.
  5. Updated Version of Terms
    The most recent and updated version of these Terms will always be available on the Platform’s website. Users are encouraged to periodically review the Terms to stay informed about any modifications.

Article 12 – Governing Law and Jurisdiction

  1. Governing Law
    These Terms, as well as all contractual relationships established through the Platform, are governed by the laws of England and Wales. However, if the User acts as a consumer and resides in a member state of the European Union or another jurisdiction with mandatory consumer protection laws, such provisions shall prevail over English law where required by applicable legislation.
  2. Jurisdiction
    Any disputes arising from these Terms or the use of the Platform shall fall under the exclusive jurisdiction of the courts of London (United Kingdom), except where mandatory consumer protection laws permit the User to bring a claim before the courts of their country of residence.
  3. Alternative Dispute Resolution (ADR)
    Before initiating legal proceedings, the User and Reload People Ltd agree to attempt an amicable resolution of any dispute. The User may also utilize alternative dispute resolution mechanisms, such as the European Union’s ODR platform (https://ec.europa.eu/consumers/odr), where applicable, or contact mediation bodies in compliance with relevant regulations.
  4. Consumer Rights
    No provision of these Terms shall be construed to limit the consumer rights granted by the laws of the User’s country of residence. If any clause conflicts with such mandatory provisions, it will not affect the validity of the remaining provisions of these Terms.

Article 13 – Miscellaneous Provisions

  1. Severability
    If any provision of these Terms is deemed invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be considered severable, and the remaining provisions shall continue to be valid and enforceable.
  2. Entire Agreement
    These Terms, together with all policies and documents referenced herein, constitute the entire agreement between the User and Reload People Ltd regarding the use of the Platform, superseding any prior agreements, understandings, or communications, whether written or oral, related to the same subject matter.
  3. Official Language and Version
    The official and legally binding version of these Terms is in English. Translations into other languages are provided for informational purposes only, and in case of any conflict, the English version shall prevail.
  4. Communications
    All formal communications between the User and Reload People Ltd shall take place via the channels indicated on the Platform, such as the email address provided by the User during registration or the internal messaging system. Reload People Ltd reserves the right to use other suitable methods of contact to deliver notices and relevant information.
  5. No Waiver of Rights
    Failure or delay by Reload People Ltd to exercise any right or power under these Terms shall not constitute a waiver of such right or power, nor shall it affect the ability to exercise it in the future.
  6. Assignment of Rights and Obligations
    Reload People Ltd reserves the right to assign or transfer, in whole or in part, its rights and/or obligations under these Terms to third parties without affecting the User's rights. The User may not assign or transfer their rights or obligations without prior written consent from Reload People Ltd.

Relationship Between the Parties
Nothing in these Terms shall be interpreted as creating an employment relationship, partnership, joint venture, agency, or any other form of association between the User, the Sellers, and Reload People Ltd. Additionally, these Terms take precedence over any verbal agreements or informal understandings between the parties.
