These Terms and Conditions were last updated on December 09, 2024. Continued use of the Platform after this date constitutes acceptance of the changes.
Preamble
These Terms and Conditions for Sellers (“Seller Terms”) govern the access to and use of the e-commerce platform rzxshop.com, owned and operated by Reload People Ltd, by third-party entities (“Sellers”). Acceptance of these Seller Terms is a prerequisite for obtaining Seller status and offering products to Users of the Platform. The Seller Terms supplement, where applicable, the Terms and Conditions for Users, which remain fully in effect.
By registering on the Platform, the Seller declares that they have read, understood, and accepted these Seller Terms, as well as any other policies or documents referenced herein. If the Seller does not agree to these Terms, they will not be able to activate their virtual store or sell products on the Platform.
Article 1 – Definitions and Scope of Application
1.1 Definitions
- “Platform”: The website rzxshop.com, owned and operated by Reload People Ltd, enabling Sellers to offer and sell their products to end Users.
- “Reload People Ltd,” “we,” “our”: Reload People Ltd, the company headquartered in London (UK), owner and operator of the Platform.
- “Seller”: A legal entity or sole proprietorship registered in the Business Register of their country of residence, already registered as a User on the Platform, who purchases the Seller service activation and is authorized to sell products on the Platform.
- “User”: A person registered on the Platform who purchases products from Sellers.
- “RZX Wallet”: The internal virtual wallet on the Platform through which end Users make payments.
- “Courier Balance”: The prepaid amount by the Seller for managing shipments through partnered couriers, which is progressively reduced with each shipment.
1.2 Scope of Application
These Seller Terms apply to all entities intending to sell products on the Platform and supplement the Terms and Conditions for Users. In the event of any conflict between the Seller Terms and the Terms and Conditions for Users, the provisions of these Seller Terms shall prevail concerning the relationship between the Platform and Sellers.
Article 2 – Seller Registration and Account Activation
2.1 To become a Seller, the individual must already be registered as a User on the Platform.
2.2 A one-time activation fee of €150 (excluding VAT) is required. Payment of this fee enables the review of company details, verification of requirements, and setup of the Seller’s online store.
2.3 Upon payment, Reload People Ltd will provide a form for the Seller to submit information about their business and the material needed to set up the online store.
2.4 Once the Seller’s eligibility has been verified, Reload People Ltd will set up the virtual store and provide the Seller with access credentials to their dashboard. From this point, the Seller can upload products, images, descriptions, prices, and relevant shipping and warranty information.
2.5 If the verification process is unsuccessful, Reload People Ltd may reject the Seller account activation request and refund the payment, less any applicable administrative fees, if required.
Article 3 – Seller Obligations
3.1 The Seller commits to providing truthful, accurate, and up-to-date information about their business and products.
3.2 The Seller declares that they meet all legal, fiscal, and administrative requirements for conducting online sales in compliance with the laws of the country where they are established and the countries where they intend to sell.
3.3 The Seller guarantees that the products offered do not infringe on third-party rights, are not counterfeit, prohibited, or non-compliant with applicable regulations.
3.4 The Seller must comply with consumer protection laws, including but not limited to, rights of withdrawal, warranties, product compliance, and return management, as stipulated by European regulations and the Platform’s internal policies.
3.5 The Seller is required to keep their catalog, prices, stock availability, shipping conditions, and any other necessary information updated to ensure a clear and transparent shopping experience for Users.
Article 4 – Platform Commissions and Payments
4.1 For each sale completed on the Platform, the Seller agrees to pay Reload People Ltd a commission of 20% of the total sale amount (excluding VAT, if applicable), unless other percentages are agreed upon through special arrangements or promotions.
4.2 These commissions support the technical infrastructure, the RZX Wallet recharge system with extra bonuses, the affiliate network, and the marketing activities promoted by the Platform for the benefit of the entire ecosystem.
4.3 The Seller authorizes the Platform to automatically deduct the commission at the time of payment credit to the RZX Wallet. The remaining amount will be immediately available in the Seller’s RZX Wallet and can be used for purchases on the Platform. However, the Seller can request a payout of the balance in cash only after the 14-day withdrawal period granted to the purchasing User has elapsed (provided no returns, complaints, or other impediments have occurred). Once this period has passed, and in the absence of disputes, the Seller may request a payout according to the procedures and timelines established by the Platform.
Article 5 – Courier Balance and Shipments
5.1 To benefit from the discounted shipping rates provided by the Platform, the Seller must prepay a “Courier Balance.”
5.2 The Courier Balance is reduced with each shipment made through the Platform’s internal system. When the balance reaches 10% of its original value, the Seller will receive an email notification. If the Seller does not replenish the Courier Balance, the courier’s pick-up and delivery services will be suspended.
5.3 Upon activation of the Seller account, along with access credentials, the Seller will receive detailed information about the available Courier Balance options, including any applicable discounts or benefits.
5.4 The Seller is responsible for maintaining a sufficient Courier Balance to ensure the continuity of shipments and efficient service for Users.
Article 6 – Assistance and Technical Support
6.1 The Platform provides Sellers with assistance and technical support to resolve issues related to the management of the virtual store, product uploads, price and shipping configurations, and other functionalities.
6.2 Sellers can contact support through an internal ticketing system or other channels indicated by the Platform. Reload People Ltd commits to providing responses within a reasonable time frame, depending on available resources.
6.3 Assistance does not include training on advanced marketing tools, optimization of descriptions, tax or legal consultancy, or other services not expressly stated.
Article 7 – Seller Responsibilities Toward Users
7.1 The Seller is directly responsible to Users for the quality, compliance, authenticity, and legality of the products sold.
7.2 The Seller must comply with consumer protection regulations, provide clear and accurate information, uphold withdrawal rights and legal product guarantees, and promptly manage returns, refunds, and complaints.
7.3 Any disputes regarding defective, non-compliant, or undelivered products must be handled by the Seller. However, the Platform reserves the right to intervene as a mediator, as outlined in the User Terms and applicable regulations.
Article 8 – Platform Liability Limitations
8.1 The Platform exclusively provides a technological intermediation service, offering a virtual space where Sellers can showcase and sell their products to Users.
8.2 Reload People Ltd is not liable for the quality, safety, legality, compliance, or authenticity of the products sold by Sellers.
8.3 The Platform shall not be held responsible for loss of profits, indirect damages, or consequential damages incurred by Sellers due to delays, technical issues, malfunctions, or other circumstances not attributable to gross negligence or willful misconduct on the part of the Platform.
Article 9 – Duration, Suspension, and Termination of Seller Accounts
9.1 The Seller account remains active unless the Seller requests its closure or the Platform suspends or revokes it due to violations of these Seller Terms or the User Terms.
9.2 The Platform may suspend or revoke a Seller account in cases of serious or repeated violations, failure to replenish the Courier Balance, non-compliance with applicable regulations, multiple reports of non-compliant products, fraudulent activities, or other reasons specified in these Terms.
9.3 Upon account closure, the remaining balance in the Seller's RZX Wallet (net of any ongoing disputes) will be refunded to the Seller according to the methods specified in these Terms, within the stipulated timeframe, provided there are no pending claims, returns, or refund requests from Users.
9.4 Suspension or revocation of the account does not affect the Platform’s right to seek compensation for any damages incurred, nor does it limit the Seller’s right to claim refunds for legitimately owed credits.
Article 10 – Amendments to the Terms and Conditions for Sellers
10.1 Reload People Ltd reserves the right to modify these Seller Terms at any time, in accordance with the provisions outlined in the User Terms.
10.2 In the event of substantial changes, Sellers will be given prior notice to review the updated terms. Continued use of the Platform as a Seller after the modifications take effect will be considered implicit acceptance of the changes.
10.3 If a Seller does not accept the changes, they may close their account and request a refund of the remaining balance in the RZX Wallet, in accordance with the provisions contained in these Terms.
Article 11 – Governing Law and Jurisdiction
11.1 These Seller Terms are governed by the laws of England and Wales. In the event of disputes, the same provisions regarding governing law and jurisdiction outlined in the User Terms apply.
11.2 Both parties retain the option to use alternative dispute resolution (ADR) methods or seek recourse from competent authorities in accordance with applicable regulations.
Article 12 – Miscellaneous Provisions
12.1 The clauses regarding severability, entire agreement, official language, communications, non-waiver of rights, assignment of contracts, and relationships between parties contained in the User Terms apply, where compatible, to these Seller Terms.
12.2 Nothing in these Seller Terms shall be construed as creating an agency, partnership, joint venture, or any other form of association between the Seller and Reload People Ltd, beyond the contractual relationship defined herein.
